Fair Use Policy

  1. Introduction

    This Fair Use Policy (“Policy”) governs the acceptable use of certain features and services provided through the Unifyr Platform. This Policy is incorporated by reference into the Master Subscription and Services Agreement (“Agreement”) between Unifyr and Customer, as referenced in Section 12.1 of the Agreement.

    Capitalized terms used but not defined in this Policy have the meanings given to them in the Agreement.

    The purpose of this Policy is to ensure fair and equitable access to shared resources, maintain platform performance for all customers, and provide transparency regarding usage expectations.

  2. Scope

    This Policy applies to all Customers, Users, and Authorized Partners accessing the Unifyr Platform under an active Order Form. This Policy covers the usage-based features and services specified in Section 4. Unifyr may add further products, features, or services to the scope of this Policy in accordance with Section 7.

  3. General Principles

    Unifyr provides generous usage allowances designed to accommodate normal business operations. Customers are expected to use the Unifyr Platform in a manner consistent with the intended purpose of their subscription and the applicable Documentation.

    Usage that exceeds the fair use thresholds defined in this Policy, or that negatively impacts platform performance or availability for other customers, may be subject to the remediation procedures described in Section 6.

    1. Prohibited Use

      The following uses of the Unifyr Platform are not consistent with the intended purpose of any subscription and are expressly prohibited. Customer shall not, and shall ensure that its Users and Authorized Partners do not:

      1. use iPaaS Integration Services as a continuous data replication or data warehousing synchronization layer;
      2. schedule full-table synchronizations where incremental synchronization is available and technically feasible;
      3. build custom applications or services on top of the integration infrastructure that aren’t in accordance with the applicable Documentation and Order Form;
      4. design or implement any usage pattern with the intent to circumvent applicable Fair Use Thresholds, including through artificial distribution of workloads across time periods or accounts;
      5. employ any technical method — including connection pooling, request batching designed to suppress Task counts, request multiplexing, or virtualization — to circumvent applicable Fair Use Thresholds or API rate limits;
      6. use the Unifyr API or iPaaS Integration Services to monitor, benchmark, or gather intelligence regarding the performance, availability, or functionality of the Unifyr Platform for any competitive or third-party analytical purpose;
      7. develop or use API access, or iPaaS Integration Services to create, enable, or deliver products or services that compete with the Unifyr Platform, or that are made available to third parties outside of Customer’s own internal business operations without prior written consent from Unifyr; or
      8. reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Unifyr Platform or its APIs, except to the extent such restriction is not permitted by applicable law.
  4. Fair Use Thresholds

    The following usage thresholds apply to specific products and services. Where an Order Form specifies different thresholds, the Order Form shall govern.

    1. iPaaS Integration Services

      iPaaS Integration Services enable automated data synchronization and workflow execution between the Unifyr Platform and third-party systems. Usage is measured in Tasks (as defined in Section 8).

      Additional Capacity: Customers requiring usage beyond the applicable fair use threshold may purchase additional monthly Tasks. Additional capacity is available in increments of 50,000 Tasks per month at USD $2,650 per year.

      Pro-Rata Calculation: For subscription terms shorter or longer than 12 months, or for mid-term subscription upgrades, fair use thresholds will be calculated on a pro-rata basis.

    2. Application Programming Interface (API)

      Where Customers access the Unifyr Platform via its application programming interface (API), such access is subject to the following additional API Rate Limits and conditions.

      Permitted API-Call Purposes: API calls are permitted only to the extent necessary to: (a) access and use Unifyr Platform features covered under the Customer’s active subscription; or (b) execute integration workflows expressly configured by Customer in accordance with the applicable Documentation and Order Form.

      Prohibited API Behaviors: Without limiting Section 3.1, the following API usage patterns are expressly prohibited: (a) making API calls for purposes other than those set forth above; (b) using API access to monitor, benchmark, or gather intelligence regarding Unifyr Platform performance or functionality; (c) using API access to develop products or services that compete with the Unifyr Platform; and (d) sharing API credentials or API keys with any party not expressly authorized under Customer’s Order Form.

      API Usage: API rate limits are enforced automatically and may be applied immediately upon a Customer’s API call volume reaching or exceeding the applicable API Rate Limit. No prior notice is required for automatic rate limiting applied at the technical level.

  5. Monitoring and Reporting

    Unifyr monitors usage to ensure platform stability and to help Customers manage their consumption. Unifyr will provide reasonable notice to Customers approaching or exceeding their applicable fair use thresholds, typically via email to the designated administrative contact.

    Unifyr may offer Task optimization services as a Professional Services engagement to help Customers analyze and reduce Task consumption.

  6. Exceeding Fair Use Thresholds

    Unifyr recognizes that legitimate business needs may occasionally result in usage that exceeds applicable thresholds. The following procedures apply when usage approaches or exceeds fair use limits. This does not apply to automated API rate limiting.

    1. Remediation Options

      Customers who exceed or anticipate exceeding their fair use thresholds may:

      • Purchase additional capacity as described in Section 4;
      • Upgrade to a subscription package with higher thresholds; or
      • Work with Unifyr to optimize integrations and reduce unnecessary Task consumption.
    2. Continued Excess Usage

      If a Customer’s usage materially and persistently exceeds the applicable Fair Use Threshold without resolution through the options described in Section 6.1, Unifyr reserves the right to:

      1. Apply overage charges at the rates specified in Section 4 or the applicable Order Form, provided that overage charges shall not apply to any calendar month for which Unifyr did not provide the threshold notification required under Section 5;
      2. Throttle or rate-limit iPaaS Integration Services to maintain platform performance; or
      3. Require the Customer to upgrade to an appropriate subscription tier.

      Unifyr will provide at least thirty (30) days’ written notice before implementing any charges or restrictions under this Section 6.2, except where immediate action is necessary to protect platform integrity, or for automated API rate limiting which is governed by Section 4.2.

      Notwithstanding the foregoing, where a Customer’s usage exceeds three hundred percent (300%) of the applicable Fair Use Threshold in any calendar month, Unifyr may implement rate-limiting or throttling of iPaaS Integration Services with five (5) calendar days written notice. For the avoidance of doubt, the notice requirements in this Section 6.2 do not apply to automated API rate limiting as described in Section 4.2.

  7. Policy Modifications
    1. Notice and Acceptance of Changes

      Unifyr may modify this Policy from time to time. Material changes will be communicated to Customers via email to the designated administrative contact or through notice within the Unifyr Platform at least thirty (30) days prior to the effective date of such changes, except where changes are required by law or necessary to address security concerns.

      Continued use of the affected services after the effective date of any modifications constitutes acceptance of the modified Policy.

  8. Definitions

    For purposes of this Policy:

    iPaaS Integration Services” (also referred to as “iPaaS”) means the integration platform-as-a-service capability made available as part of the Unifyr Platform, which enables automated complex data exchange and workflow execution between the Unifyr Platform and third-party systems.

    Task” means an executed action within an integration workflow via iPaaS. Each action (such as create, update, search, or send) counts as one Task. Triggers, conditions, and control logic do not count as Tasks. Actions within loops count once per iteration. Batch operations count as one Task regardless of the number of records processed. For the avoidance of doubt, each execution attempt of an action counts as a Task, including retried or re-executed actions, regardless of whether the action ultimately succeeds or fails.

    API Call” means a single HTTP request made to the Unifyr API by or on behalf of Customer, regardless of whether the request results in a Task being executed or recorded.

    API Rate Limit” means the maximum number of API Calls permitted within a specified time window as set forth in Section 4.2 or the applicable Order Form.

    Fair Use Threshold” means the applicable usage limit specified in Section 4 of this Policy or in the Customer’s Order Form.

    Prohibited Use” means any use of the Unifyr Platform identified as prohibited under Section 3.1 of this Policy.

This Policy is effective as of the date first written above and applies to all Customers subject to agreements referencing this Policy.
