AI Services Addendum

This AI Services Addendum ("Amendment") supplements and is incorporated into the Unifyr Platform Terms of Service (the "Agreement") between Customer and Unifyr. Capitalized terms used but not defined herein shall have the meanings set forth in the Agreement.
- Sub-Processors for AI Services. By agreeing to this Amendment, Customer authorizes Unifyr to engage additional third-party sub-processors as necessary to deliver the AI Services. A current list of all sub-processors is maintained and published at https://www.unifyr.com/legal/subprocessors/.
- AI Service Liability Limitations. Unifyr's Responsible AI Policy, available at https://www.unifyr.com/legal/responsible-ai-policy/, governs the limitations for all Unifyr services that utilize AI. Customer acknowledges that AI-generated outputs are probabilistic in nature and may contain errors or inaccuracies. Customer agrees to evaluate AI outputs for accuracy and exercise independent judgment before relying on such outputs for any consequential decisions. Unifyr's liability for AI Services shall be limited as set forth in the Responsible AI Policy and the general limitation of liability provisions in the Agreement. Customer is responsible for monitoring and managing the usage of AI Services by Customer and its partners.
- AI Service Credit Model and Usage Measurement. Services are governed by a unified credit-based consumption model. A "Credit" is a standardized unit of measurement that represents the consumption of system resources, processing capacity, and related infrastructure required to generate outputs or perform system-driven actions within the platform. The total number of Credits licensed by Customer defines the overall volume of Services available during the applicable period. Credits may be applied across eligible current and future AI Services, and usage is deducted from the Customer's available Credit balance based on the Credit cost assigned to each specific action or output. Once the available Credits are fully consumed, access to Services will be suspended until additional Credits are licensed or the next allocation period begins. Unifyr reserves the right to implement technical controls, including rate limiting or other safeguards, to ensure system integrity, fair usage, and alignment with the intended use of the Services.
- AI Services Credit Cost. The Credit cost for each AI Service is determined by Unifyr in its sole discretion and is made available to Customer through the Unifyr admin environment. Unifyr reserves the right to adjust the Credit cost for any AI Service at any time, including to reflect changes in underlying costs, resource consumption, or to sustain or improve the quality of AI Services. Unifyr will communicate any such adjustments by updating the applicable credit costs through the Unifyr admin environment prior to the effective date of the change. Customer's continued use of AI Services following any such update constitutes acceptance of the revised credit costs.
- Included Credits. The quantity of AI Credits included in Customer's subscription at no additional charge will be accessible through the Unifyr platform. Unifyr reserves the right to increase the number of Credits included at no additional charge at any time, with any such adjustment to be reflected in the platform accordingly. All included Credits remain subject to the terms and conditions set forth in this Amendment, including monthly allocation, expiration, and AI Services pricing provisions.
- Additional Credits. Customers may license additional Credits from Unifyr upon reaching allocated limits, subject to availability and Unifyr's then-current pricing.
- Monthly Credit Allocation and Expiration. Credit allocations are defined per calendar month. Unused outputs expire at month-end and cannot be rolled over to subsequent periods.
- AI Services Activation. All AI Services, whether currently available or introduced by Unifyr after the effective date of this Amendment, are enabled by default within Customer's Unifyr environment. Customer's authorized administrators may deactivate any AI Service at any time through the Unifyr admin environment or by contacting Unifyr directly. Each AI Service may be deactivated separately and individually.
